1. AGREEMENT TO TERMS
1.1 Binding Agreement
These Terms and Conditions ("Terms") constitute a legally binding agreement
between you ("you," "your," "Member") and WAR ROOM INC
("Company," "we," "us," "our"), a Texas corporation
with its principal place of business at 4201 Main St Suite 200-291, Houston, Texas 77002,
United States.
1.2 Acceptance
By accessing or using https://thewarroom.ag (the "Site") and our Services (as
defined below), you:

2. DEFINITIONS

Member-only content, resources, and materials
Community forums and communication channels

"Content" means all text, graphics, images,
videos, audio, software, data, and other materials available through the Services.
"User Content" means any content you submit, post,
upload, or transmit through the Services.
"Member" means any individual who has registered
for and maintains an active paid membership.
"Events" means any in-person or virtual
gatherings, conferences, meetings, or activities organized by or through The War
Room.
3. ELIGIBILITY AND MEMBERSHIP
3.1 Age Requirement
You must be at least 18 years of age to use our Services. By using the Services, you
represent and warrant that you are 18 years or older. We may request proof of age at our
discretion.
3.2 Capacity to Contract
You must have the legal capacity to enter into a binding contract under applicable law. By
agreeing to these Terms, you represent and warrant that:
You are legally competent to enter into contracts
You are not prohibited by law from accessing or using the Services
You have the authority to bind yourself to these Terms
3.3 Application Process
Membership to The War Room may require an application and approval process at our sole
discretion. We reserve the right to:
Accept or reject any membership application for any reason or no reason
Require additional information or documentation
Conduct background checks or verification
Set membership criteria and requirements
3.4 Membership Types and Tiers
We offer premium annual membership tiers providing:
Exclusive access to high-end events
Networking opportunities with vetted members

3.5 Account Registration
To become a Member, you must:
Provide accurate, current, and complete information
Create a secure password
Agree to these Terms, the Privacy Policy, Refund Policy, and NDA
Pay the applicable membership fees
3.6 Account Security and Responsibility
You are responsible for:
Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach
Using strong, unique passwords
Not sharing your login credentials with others
We are not liable for any loss or damage arising from your failure to protect your account

3.7 Non-Transferability
Memberships are personal, non-transferable, and non-assignable. You may not:
Share your account with others
Sell, transfer, or assign your membership
Allow others to use your account credentials
Create an account on behalf of another person
Any attempt to transfer or share membership access may result in immediate termination
without refund.
3.8 Single Account Per Person
Each person may maintain only one active membership account. Creating multiple accounts may
result in termination of all accounts without refund.
4. PAYMENT TERMS
4.1 Membership Fees
Membership fees are detailed on the Site and in your purchase confirmation. Fees are subject
to change with at least 30 days' written notice to active Members.
4.2 Annual Billing Commitment
All memberships are sold on an annual basis. By purchasing a membership, you commit to a
full year of membership and agree to pay the annual membership fee.
4.3 Payment Processing
Payments are processed through our third-party payment processors (Stripe, PayPal, or other
approved processors). You authorize us to charge your designated payment method for:
Initial membership fees
Renewal fees (if auto-renewal is enabled)
Any additional services or purchases
Applicable taxes and fees
4.4 Automatic Renewal
IMPORTANT: Unless you cancel before your renewal date, your
membership will automatically renew for successive one-year terms.
Auto-Renewal Terms:
You will be charged the then-current annual membership fee
We will send renewal reminder emails at least 30 days before your renewal date
You are responsible for monitoring your renewal date
Renewal charges are non-refundable (see Refund Policy)
How to Prevent Renewal:
Email [email protected] with "Cancellation Request" in the subject line
Include your full name and account email address
Request must be received at least 7 days before your renewal date
You will receive written confirmation of cancellation
You retain access until the end of your current paid period
4.5 Price Changes
We may change membership pricing at any time. For existing Members:
Price changes do not affect your current membership term
New pricing applies at your next renewal date
We will provide at least 30 days' notice of price increases
You may cancel before renewal to avoid new pricing
4.6 Taxes
You are responsible for all applicable taxes (sales tax, VAT, GST, etc.) associated with
your membership. Taxes will be calculated and added to your invoice as required by
law.
4.7 Payment Disputes
Billing disputes must be reported within 30 days of the charge date by contacting

Transaction date and amount
Description of the dispute
Supporting documentation
4.8 Failed Payments
If a payment fails:
We will attempt to process the payment again
Your account access may be suspended
You remain responsible for all outstanding fees
We may charge late fees as permitted by law
We may terminate your membership for non-payment
4.9 Refund Policy
All membership fees are non-refundable except as specifically provided in our Refund Policy.

5. NON-DISCLOSURE AGREEMENT (NDA)
5.1 Binding NDA
As a condition of membership, you must accept and agree to The War Room Non-Disclosure
Agreement. The NDA is a separate, binding legal agreement that governs:
Confidential information shared within The War Room
Member privacy and discretion
Proprietary business information
Event discussions and content
Community interactions
5.2 NDA Survival
Your obligations under the NDA survive:
Termination of your membership
Expiration of your membership
Cancellation by you or us
Any disputes or refund requests
5.3 NDA Enforcement
Breach of the NDA may result in:
Immediate membership termination without refund
Legal action for damages
Injunctive relief
Forfeiture of any discretionary refund consideration
Liability for legal fees and costs
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Company Ownership
All Content on the Site and through the Services, including but not limited to:
Text, graphics, logos, icons, images, photographs
Audio clips, video clips, digital downloads
Data compilations and software
The War Room brand, trademarks, and service marks
Website design, layout, and "look and feel"
Proprietary information and trade secrets
is the exclusive property of WAR ROOM INC or its licensors and is protected by U.S. and
international copyright, trademark, patent, trade secret, and other intellectual property
laws.
6.2 Limited License to Members
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable
license to:
Access and use the Services for personal, non-commercial purposes
View and download Content solely for personal use
Participate in community forums and discussions
This license does not permit you to:
Reproduce, duplicate, copy, or resell any part of the Services or Content
Modify, adapt, translate, or create derivative works
Reverse engineer, decompile, or disassemble any software
Remove or alter any copyright, trademark, or proprietary notices
Use Content for commercial purposes without written permission
Frame or mirror any part of the Services
Use automated systems (bots, scrapers, crawlers) to access the Services
6.3 Trademark Rights
"The War Room" and associated logos, designs, and marks are trademarks or
registered trademarks of WAR ROOM INC. You may not use our trademarks without prior written
consent.
6.4 DMCA Compliance
We respect intellectual property rights. If you believe your copyrighted work has been

6.5 User Content License

Distribute and publicly perform your User Content
Incorporate your User Content into other works and media
This license survives termination of your membership.
6.6 User Content Representations
By submitting User Content, you represent and warrant that:
You own or have the right to submit the User Content
Your User Content does not violate any third-party rights
Your User Content complies with these Terms
You have obtained all necessary permissions and releases
6.7 No Compensation for User Content
You acknowledge that you will not receive compensation for User Content and that we have no
obligation to use, display, or retain your User Content.
6.8 Content Removal
We reserve the right to remove any User Content that violates these Terms, our policies, or
applicable law, without notice or liability.
7. USER CONDUCT AND PROHIBITED ACTIVITIES
7.1 General Conduct Standards
You agree to use the Services in a lawful, respectful, and appropriate manner. You will:
Comply with all applicable local, state, national, and international laws
Respect the rights and dignity of other Members
Maintain professionalism in all interactions
Follow event-specific rules and venue policies
Honor the NDA and confidentiality obligations
7.2 Prohibited Activities
You expressly agree not to:
Illegal and Harmful Conduct:
Violate any laws, regulations, or third-party rights
Engage in fraud, theft, or financial crimes
Harass, threaten, intimidate, or abuse others
Engage in hate speech, discrimination, or incitement of violence
Share or promote illegal activities
Violate the NDA or confidentiality obligations
Misuse of Services:
Impersonate any person or entity
Provide false, misleading, or deceptive information
Create fake or fraudulent accounts
Share your account credentials or access
Attempt to circumvent access restrictions or payment requirements
Interfere with or disrupt the Services or servers
Unauthorized Access and Security:
Attempt to gain unauthorized access to our systems, networks, or data
Probe, scan, or test vulnerabilities of our systems
Breach or bypass authentication or security measures
Access areas of the Site not intended for you
Use any device, software, or routine that interferes with proper functioning
Automated and Commercial Use:
Use robots, spiders, scrapers, or other automated means to access the Services
Harvest or collect information about Members without permission
Use the Services for commercial purposes without authorization
Resell or sublicense access to the Services
Frame, mirror, or replicate any part of the Services
Content Violations:
Upload viruses, malware, or malicious code

Share sexually explicit, violent, or offensive content

Network and System Abuse:
Overload, flood, or spam the Services
Introduce viruses, Trojan horses, or harmful code
Take any action that imposes unreasonable load on our infrastructure
Attempt denial-of-service attacks
7.3 Event Conduct
Members attending Events must:
Follow venue rules and regulations
Respect event organizers, speakers, and attendees
Refrain from disruptive or inappropriate behavior
Comply with photography and recording policies
Honor confidentiality regarding event discussions (subject to NDA)
Violation of event conduct standards may result in:
Removal from the event without refund
Prohibition from future events
Membership termination
7.4 Reporting Violations
If you become aware of violations of these Terms or inappropriate conduct, report it
immediately to [email protected].
7.5 Consequences of Violations
Violations of these Terms may result in:
Warning or reprimand
Temporary suspension of account
Permanent termination of membership without refund
Removal of User Content
Legal action and pursuit of damages
Reporting to law enforcement if illegal activity is suspected
Permanent ban from creating future accounts
8. PRIVACY AND DATA PROTECTION

Value or quality of connections made through the Services

Interactions with other Members or third parties
Advice, recommendations, or information from other Members
9.4 Events and Venue Disclaimers

Venue conditions, safety, or accessibility
Actions of event speakers, presenters, or attendees
Travel delays, cancellations, or expenses

Availability from all geographic locations
Freedom from interruptions due to maintenance, updates, or technical issues

9.6 Medical, Legal, and Professional Advice

10. LIMITATION OF LIABILITY
10.1 Maximum Liability Cap
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF WAR ROOM INC, ITS OFFICERS,
DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS FOR ANY CLAIMS ARISING
FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN
THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
10.2 Exclusion of Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, WAR ROOM INC SHALL NOT BE LIABLE FOR ANY:
Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, or business opportunities
Loss of data, goodwill, or reputation
Business interruption or lost savings
Personal injury or property damage
Emotional distress or mental anguish
Any other intangible losses
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY
OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES.
10.3 Causes of Liability Exclusion
The limitations in this section apply to claims arising from or related to:
Your use of or inability to use the Services
Unauthorized access to or alteration of your data or transmissions
Statements or conduct of any third party on the Services
Content or information transmitted through the Services
Interactions with other Members
Attendance at events
Any other matter relating to the Services
10.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential
damages. In such jurisdictions, our liability is limited to the fullest extent permitted by
law.
10.5 Essential Purpose
You acknowledge that these limitations are reasonable and that the fees charged for the
Services reflect these limitations. These limitations are essential to our
agreement.
11. INDEMNIFICATION
11.1 Your Indemnification Obligation
You agree to defend, indemnify, and hold harmless WAR ROOM INC, its parent, subsidiaries,
affiliates, and their respective officers, directors, employees, contractors, agents,
licensors, suppliers, successors, and assigns from and against any and all:
Claims, actions, demands, or proceedings
Losses, damages, liabilities, costs, and expenses (including reasonable attorneys'
fees)
Arising from or related to:
Your Conduct:
Your use or misuse of the Services
Your violation of these Terms
Your violation of any law, regulation, or third-party right
Your User Content or conduct
Your Relationships:
Your interactions with other Members
Business dealings or relationships with other Members
Disputes with other Members or third parties
Your Violations:
Infringement of intellectual property rights
Violation of the NDA
Breach of confidentiality obligations
Fraudulent or illegal activity
11.2 Defense and Settlement
We reserve the right, at our own expense, to assume the exclusive defense and control of any
matter subject to indemnification by you. You will cooperate fully in the defense of any
claim. You may not settle any claim without our prior written consent.
11.3 Survival
This indemnification obligation survives termination of these Terms and your
membership.
12. TERMINATION AND SUSPENSION
12.1 Cancellation By You
You may cancel your membership at any time to prevent future renewal charges by:

line
Including your full name and account email address
Submitting the request at least 7 days before your renewal date
Effects of Cancellation:
Cancellation prevents future automatic renewal charges
You retain access to Services until the end of your current paid membership period
No refund will be issued for the remaining time in your current membership period
You must receive written confirmation of cancellation from us
Failure to receive confirmation means cancellation was not completed
Important: You are responsible for ensuring your cancellation is received and confirmed. We
are not responsible for email delivery issues, spam filters, or unread emails.
12.2 Termination By Us
We reserve the right to suspend or terminate your account and access to Services
immediately, at our sole discretion, with or without notice, for any reason or no reason,
including but not limited to:
Violations:
Violation of these Terms
Breach of the NDA
Violation of our policies or guidelines
Fraudulent or illegal activity
Abuse of the Services or other Members
Business Reasons:
Non-payment of fees
Chargeback filing for legitimate purchases
Creating multiple accounts
Account inactivity
At our discretion for any reason or no reason
Safety and Security:
To protect the integrity of the Services
To protect our rights, property, or safety
To protect the rights, property, or safety of other Members
In response to legal requirements or law enforcement requests
12.3 Effect of Termination
Upon termination or suspension of your account by us:
Your right to access and use the Services immediately ceases
All licenses granted to you immediately terminate
You must cease all use of our intellectual property
You may be required to delete or return Content and materials
No refund will be issued for any remaining membership period
You may be permanently prohibited from creating a new account
Your NDA obligations remain in full force and effect

12.5 No Refunds Upon Termination
Termination by either party does not entitle you to a refund of any fees paid. See our
Refund Policy for complete details.
13. DISPUTE RESOLUTION
13.1 Governing Law
These Terms and any disputes arising from or related to these Terms or the Services shall be
governed by and construed in accordance with the laws of the State of Texas, United States,
without regard to its conflict of law principles.
13.2 Informal Resolution Requirement
Before filing any formal claim or lawsuit, you must first contact us at
[email protected] to attempt to resolve the dispute informally. Include:
Detailed description of the dispute
Your desired resolution
Supporting documentation
We will attempt to resolve the dispute through good-faith negotiations for at least 30 days.
This requirement is a prerequisite to any formal dispute resolution.
13.3 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO
FILE A LAWSUIT IN COURT.
If we cannot resolve a dispute informally, you and WAR ROOM INC agree that any dispute,
claim, or controversy arising from or relating to these Terms or the Services shall be
resolved by binding arbitration rather than in court, except as set forth below.
Arbitration Rules:
Arbitration shall be conducted by the American Arbitration Association (AAA) under its
Commercial Arbitration Rules and Consumer Arbitration Rules (where applicable)
The arbitration shall be held in Houston, Harris County, Texas
The arbitrator shall apply Texas law consistent with the Federal Arbitration Act
The arbitrator's decision is binding and may be entered as a judgment in any court of
competent jurisdiction
Arbitration Fees:
Each party is responsible for their own legal fees unless otherwise required by law
We will pay AAA filing fees if required by AAA rules
The arbitrator may award fees and costs to the prevailing party if authorized by law
Discovery and Rights:
Discovery in arbitration is more limited than in court
The arbitrator's ability to award certain remedies may be more limited than a court
Arbitration awards are subject to very limited review by courts
13.4 Exceptions to Arbitration
Notwithstanding the arbitration requirement, either party may:
Bring an individual action in small claims court if the claim qualifies
Seek injunctive or equitable relief in court to:
Prevent infringement of intellectual property rights
Prevent breach of the NDA
Protect confidential information
Prevent irreparable harm
13.5 Class Action Waiver
YOU AND WAR ROOM INC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN
INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS,
CONSOLIDATED, OR REPRESENTATIVE ACTION.
You waive any right to:
Participate in a class action lawsuit
Participate in a class arbitration
Participate in a consolidated or representative proceeding
Act as a private attorney general
If this class action waiver is found to be unenforceable, the entire arbitration provision
shall be void, and the dispute shall be resolved in court.
13.6 Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WAR ROOM INC WAIVE ANY RIGHT TO A JURY TRIAL
FOR ANY DISPUTES ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES.
13.7 Venue and Jurisdiction
For any disputes not subject to arbitration or where arbitration is not required:
Exclusive venue and jurisdiction shall be in the state or federal courts located in Harris
County, Texas
You consent to personal jurisdiction in these courts
You waive any objection to venue or inconvenient forum
13.8 One-Year Limitation Period
Any claim or dispute must be filed within ONE (1) YEAR after the claim arises, or it is
permanently barred. This one-year period applies to arbitration, court actions, and all
other dispute resolution forums.
13.9 Severability of Dispute Resolution Provisions
If any part of this Dispute Resolution section is found to be invalid or unenforceable:
The remainder of this section remains in effect
If the class action waiver is found unenforceable, the arbitration provision is void
Any invalid provisions shall be modified to the minimum extent necessary
14. FORCE MAJEURE
14.1 Excused Performance
WAR ROOM INC shall not be liable for any failure or delay in performance due to
circumstances beyond our reasonable control, including but not limited to:
Natural Disasters:
Acts of God, earthquakes, floods, fires, storms
Pandemics, epidemics, or public health emergencies
Infrastructure and Technology:
Internet, telecommunications, or utility failures
Server failures, data center outages
Cyber attacks, DDoS attacks, hacking attempts
Software or hardware malfunctions
Government and Legal:
Government actions, regulations, or restrictions
Legal orders, injunctions, or court decisions
War, terrorism, civil unrest, riots
Strikes, labor disputes, or shortages
Other Events:
Supplier or vendor failures
Transportation disruptions
Any other circumstances beyond our control
14.2 Effect of Force Majeure
During a force majeure event:
Our obligations are suspended to the extent affected
We will make reasonable efforts to resume performance
We will notify you of the situation when practicable
No refunds or compensation will be provided

15. COMMUNICATIONS AND NOTICES
15.1 Electronic Communications
By using the Services, you consent to receive electronic communications from us,

Electronic communications satisfy any legal requirement that communications be in

16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, and Non-Disclosure Agreement,
constitute the entire agreement between you and WAR ROOM INC regarding the Services and
supersede all prior agreements, representations, and understandings, whether written or
oral.
16.2 Amendments
We reserve the right to modify these Terms at any time. Changes are effective immediately
upon posting. Material changes will be communicated via email or prominent Site notice. Your
continued use after changes constitutes acceptance.
16.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court

16.6 Third-Party Beneficiaries
These Terms are solely for the benefit of you and WAR ROOM INC. No third party has any right
to enforce or benefit from these Terms.
16.7 Independent Contractors
You and WAR ROOM INC are independent contractors. These Terms do not create any partnership,
joint venture, employment, agency, or franchise relationship.
16.8 No Professional Relationship
Membership does not establish any professional relationship (attorney-client,
doctor-patient, accountant-client, etc.) between you and WAR ROOM INC or between you and
other Members.
16.9 Headings
Section headings and titles are for convenience only and do not affect the interpretation of
these Terms.
16.10 Interpretation
These Terms shall be interpreted fairly in accordance with their terms and without any
construction in favor of or against either party.
16.11 Language
These Terms are drafted in English. Any translation is provided for convenience only. In the
event of conflict between English and translated versions, the English version
prevails.
16.12 Export Control
You agree to comply with all applicable export and import laws and regulations. You
represent that you are not:
Located in a country subject to U.S. embargo
Listed on any U.S. government prohibited or restricted parties list
Subject to export restrictions under applicable law
16.13 Government End Users
If you are a U.S. government entity, the Services are "commercial items" as
defined in FAR 2.101 and subject to standard commercial license terms.

17. ACKNOWLEDGMENT AND ACCEPTANCE
